Terms of Use

These terms govern your use of EcoSphere Intelligence. By creating an account or using the platform, you agree to them. Please read the third-party standards and licensed-materials clause in section 8 carefully.

These Terms of Use ("Terms") are a binding agreement between you and EcoSphere Intelligence Limited ("EcoSphere", "we", "us"), a company registered in Ireland with its registered office at Athlone, Co. Westmeath, Ireland. They govern your access to and use of the EcoSphere Intelligence platform, applications, and related services (the "Platform").

By creating an account, accepting these Terms at sign-up, or using the Platform, you confirm that you have read and agree to these Terms and to our Privacy Policy. If you are using the Platform on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf, and "you" includes that organisation.

The Platform is a multi-tenant software service for environmental, social, and health impact assessment (ESHIA) lifecycle work — including managing regulatory sources, screening and scoping assessments, preparing reports, and coordinating review. We may update, improve, or change features over time. Some features are provided on an evaluation or preview basis and may change or be withdrawn.

  • You must provide accurate account information and keep it up to date.
  • You are responsible for safeguarding your credentials and for all activity under your account. Tell us promptly if you suspect unauthorised use.
  • Accounts are for a named individual. Do not share a single account between multiple people; your organisation's administrator can invite additional users.
  • You must be old enough to form a binding contract in your jurisdiction.

4. Workspaces, roles and administrators

Link to section 4. Workspaces, roles and administrators

The Platform is organised into workspaces (tenants). If you access the Platform through an organisation's workspace, that organisation controls the workspace and its administrators can manage membership, roles, settings, and content, and can view your activity within the workspace. Your role determines what you can see and do. We enforce isolation between workspaces so one workspace's data is not accessible from another.

You agree not to:

  • use the Platform unlawfully, or to infringe others' rights;
  • attempt to access another workspace's data, defeat tenant isolation, or probe, scan, or breach security or authentication;
  • interfere with or disrupt the Platform, or place an unreasonable load on it (including by automated scraping or bulk extraction beyond documented interfaces);
  • upload malware, or content you do not have the right to upload, or that is unlawful;
  • reverse engineer, resell, or sublicense the Platform except as permitted by law or a separate written agreement.

We may suspend or limit access to protect the Platform, its users, or third parties, or to comply with law.

6. Your content and responsibilities

Link to section 6. Your content and responsibilities

You retain ownership of the documents, data, and other content you upload to your workspace ("Customer Content"). You grant us the rights needed to host, process, and display Customer Content in order to provide the Platform to you. You are responsible for Customer Content and for having the rights and permissions needed to upload and process it.

Where we process Customer Content on your instructions, that processing is governed by the Data Processing Agreement (DPA) between us and your organisation, which sets out our obligations for that content (including security, sub-processing, and deletion). The DPA, not these Terms, governs that processing.

7. AI-assisted features and professional responsibility

Link to section 7. AI-assisted features and professional responsibility

The Platform uses AI to help draft, summarise, and analyse. AI-assisted output is working material for review by a competent professional, not professional, legal, or regulatory advice, and not a decision. You are responsible for reviewing, verifying, and approving any output before you rely on it or submit it to a regulator or third party.

  • We do not make solely automated decisions that produce legal or similarly significant effects about individuals.
  • We instruct our model providers, by contract, not to train their models on your prompts, inputs, or outputs, and we do not use Customer Content to train models.
  • Generated outputs are linked to the retrieval records and run metadata that produced them, so their provenance can be traced.

8. Third-party standards and licensed materials

Third-party standards and licensed materials. The Platform references, cites, and encodes assessment methodologies derived from proprietary third-party standards and guidance (“Licensed Materials”), including but not limited to the items listed below. The Platform does not reproduce the full text of the Licensed Materials and grants you no licence, right, or interest in them. You are solely responsible for obtaining and maintaining, at your own cost, all licences, subscriptions, or memberships required to access and use the Licensed Materials in your work. You must not use or rely on the Licensed Materials through the Platform unless you hold the rights to do so.

  • BS 4142:2014+A1:2019
  • BS 5228-1:2009+A1:2014 and BS 5228-2:2009+A1:2014
  • Guidelines for Landscape and Visual Impact Assessment, Third Edition (GLVIA3)
  • IEMA practitioner guidance

9. Third-party data and open-source software

Link to section 9. Third-party data and open-source software

The Platform incorporates third-party data and open-source software. Where a licence requires attribution, we acknowledge it here and preserve the mandated notices in the product (including on generated maps and figures):

  • Ordnance Survey mapping: Contains OS data © Crown copyright and database rights 2026.
  • Map data © OpenStreetMap contributors, licensed under the Open Database Licence (ODbL).
  • UK planning and environmental constraint datasets (planning.data.gov.uk and other UK public-sector sources) are used under the Open Government Licence v3.0.
  • The Platform is built with open-source software distributed under permissive licences (including the MIT, BSD, and Apache 2.0 licences); the respective copyright and licence notices are retained in our software distribution.

The Platform, including its software, design, and content we provide (excluding Customer Content and third-party materials), is owned by EcoSphere or its licensors and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes. We welcome feedback and may use it without restriction or obligation to you.

Where you purchase a paid plan, the fees, billing period, and scope are set out in your order or a separate written agreement, which prevails over these Terms to the extent of any conflict. Evaluation, trial, or free access is provided as-is and may be changed or ended at any time. Except where required by law or stated in your order, fees are non-refundable.

The Platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted or error-free, or that AI-assisted output will be accurate, complete, or suitable for a regulatory submission without your review. Nothing in these Terms excludes liability that cannot be excluded by law.

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or goodwill, arising out of or relating to the Platform. Our aggregate liability arising out of or relating to these Terms is limited to the fees you paid for the Platform in the twelve months before the event giving rise to the liability. These limits do not apply to liability that cannot be limited by law.

These Terms apply while you use the Platform. You may stop using the Platform at any time. We may suspend or terminate access if you materially breach these Terms, or where required by law or to protect the Platform or its users. On termination, your right to use the Platform ends; the handling and deletion of Customer Content is governed by the DPA and your order. Clauses that by their nature should survive termination (including sections 6, 10, 12, 13, and 16) survive.

15. Changes to the service and these terms

Link to section 15. Changes to the service and these terms

We may update these Terms to reflect changes to the Platform, our practices, or the law. For material changes we will take reasonable steps to notify you (for example by email or an in-product notice) before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms where permitted by law.

These Terms are governed by the laws of Ireland, and the courts of Ireland have non-exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protections available to you in your country of residence.
